PanCanadian Technology Fund (PCTF) is a pledge fund that allows investors the right to invest or not in each individual investment presented to them by the Fund Manager PanCanadian Technology Fund Inc. (PCTFI) for their consideration.


About PanCanadian Technology Fund

PanCanadian Technology Fund (PCTF) is a pledge fund established in Ontario. The objective of the Fund is to oversee a diversified portfolio of subordinated debt and/or equity instruments to be held in later stage technology-based businesses that will be identified by the Fund Manager, which will meet certain investment criteria.

The Managing Partners of PCTFI are Dave Gurney, Frank Hayes, William Hewitt and Edward Kress. Investors will invest in investee companies as Limited Partners (LPs) of a limited partnership dedicated to that investee company. The General Partner (GP) of each limited partnership will manage the investment and will be a subsidiary of PCTFI.

The PCTF pledge fund structure provides investors with the right to invest or not in each individual investment presented to them by the Fund Manager for their consideration. The investors commit to a participation amount to the Fund and thereafter as deals are presented, the investors decide if they wish to commit or not to each individual investment. Investors may be entitled to increase their participation in an investment in certain circumstances.


Minimum Investor Commitment

Investors must be “Accredited Investors” as defined in National Instrument 45-106 or pursuant to other applicable securities law exemptions and must agree to commit a minimum participation amount to the Fund, to be invested at the investor’s discretion.


Investment Objective of the Fund

The Fund’s objective is to provide investors with a diversified portfolio of investments in technology related corporations, generating a combination of returns from principal and interest from subordinated debt investments and capital appreciation from equity instruments held in investee companies.
